XXIII. INTERNATIONAL BUSINESS GUIDELINES

While the Company's Code of Conduct applies to both domestic and foreign operations of the Company, certain aspects of international business are unique and are subject to international business guidelines that may be adopted and issued by the Company and/or its operating subsidiaries from time to time. (Please note that each of the Company's operations in Puerto Rico and Germany has a separate Code of Conduct which, though based substantially on this Code of Conduct, has been modified as appropriate to reflect applicable local laws and regulations.) Such appropriate international business guidelines as are adopted and issued will be intended to ensure compliance with all applicable laws and regulations governing the exportation and importation of items from and to the United States. Each employee who is engaged in any aspect of the Company's international business will be expected to know and comply with any applicable international business guidelines that may be issued by the Company. Any questions concerning the application of international business guidelines issued by the Company should be directed to the Law Department.
